Client Information
1. Services
1.1 Scope of Services
MarketBrewer LLC agrees to provide digital marketing services which may include, but are not limited to:
- Website Development with Amazon Web Services
- Search Engine Optimization (Technical SEO, Local SEO)
- Social Media Management
- Email Marketing Development & Management
- Text Marketing Development & Management
- Google Business Profile Management
- E-commerce Development
- Content Creation (Photography and Videography)
- Digital Marketing Infrastructure Development
- Business Development Services
- Marketing Automation
- Other services as mutually agreed upon in writing
1.2 Service Delivery
The Company will deliver services according to the specific scope of work outlined in Appendix A (to be attached for each client engagement), which will detail:
- Project deliverables
- Timeline
- Performance metrics
- Reporting schedule
- Specific technical requirements
2. Compensation
2.1 Fee Structure
2.2 Payment Terms
- • All payments are due within net-30 days of invoice date

Payments can be made via:

- ◦ Zelle (no additional fees)
- • Late payments will incur a 1.5% monthly interest charge
- • Services may be suspended with 7 days notice for unpaid invoices
3. Term and Termination
3.1 Term
This Agreement shall commence on the date of signing and continue until terminated by either party according to the terms herein.
3.2 Termination
- • Either party may terminate with 14 days written notice

Company may terminate immediately if:
- ◦ Client fails to pay any fees when due
- ◦ Client fails to cooperate or hinders service delivery
- • No refunds shall be issued upon termination
- • Client remains responsible for all fees accrued up to termination date
4. Client Responsibilities
The Client agrees to:
- • Provide timely access to necessary accounts, materials, and information
- • Respond to requests for approval or feedback within 3 business days
- • Maintain ownership/rights to all provided content and materials
- • Comply with all applicable laws and regulations
- • Provide accurate and truthful information
- • Maintain confidentiality of any proprietary information shared
5. Company Responsibilities
MarketBrewer LLC agrees to:
- • Deliver services professionally and competently
- • Maintain confidentiality of Client information
- • Provide regular updates and reports as specified
- • Comply with all applicable laws and regulations
- • Take reasonable measures to protect Client data and accounts
- • Maintain professional liability insurance
6. Intellectual Property
6.1 Client Content
- • Client retains ownership of all provided materials
- • Client grants Company license to use materials for service delivery
- • Client warrants ownership/rights to all provided content
6.2 Company Content
- • Company retains ownership of all created materials except Client's proprietary elements
- • Company may include Client's name and work in portfolio
- • Company retains rights to methodologies and processes
7. Confidentiality
Both parties agree to:
- • Maintain confidentiality of all non-public information
- • Use reasonable security measures to protect confidential information
- • Limit access to those who need to know
- • Return or destroy confidential information upon request
- • Confidentiality obligations survive termination for 1 year
8. Limitation of Liability
8.1 Liability Cap
Company's total liability shall not exceed fees paid in previous 6 months.
8.2 Exclusions
Neither party liable for:
- Indirect or consequential damages
- Lost profits or business interruption
- Third-party claims
- Force majeure events
9. Indemnification
Client agrees to indemnify Company against claims arising from:
- Client-provided materials
- Client's business operations
- Breach of Agreement terms
- Violation of laws or regulations
10. General Provisions
- 10.1 Independent Contractor: This Agreement creates an independent contractor relationship, not employment or joint venture.
- 10.2 Governing Law: This Agreement is governed by Virginia law, with venue in Fairfax County.
- 10.3 Modification: Modifications require written agreement of both parties.
- 10.4 Assignment: Neither party may assign without written consent of the other party.
- 10.5 Severability: If any provision is invalid, remainder of Agreement remains in effect.
- 10.6 Entire Agreement: This Agreement constitutes the entire understanding between parties.
